1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ScaleTapp DOOEL ("Company," "we," "us," or "our") concerning your access to and use of the xExo Chrome extension and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

YOU MUST BE AT LEAST 18 YEARS OLD TO USE THIS SERVICE. By using the Service, you represent and warrant that you are at least 18 years of age.

2. Description of Service

xExo is an AI-powered Chrome extension that helps users create authentic, engaging content on X (formerly Twitter) by learning their unique voice and applying psychology-based communication frameworks.

The Service includes:

• Reply Mode: AI-generated replies to other users' tweets with context awareness
• Post Mode: Original content creation (custom ideas, influencer quotes, thread builder)
• Voice Calibration: Personalized AI training based on your writing style
• Daily Catalyst: Guided articulation prompts for content inspiration
• Communication Archetypes: Psychology-based frameworks for strategic engagement

3. Account Registration and Authentication

3.1 Account Creation

To use the Service, you must:

• Authenticate via Twitter/X OAuth or Google OAuth
• Provide accurate and complete account information
• Maintain the security of your account credentials
• Subscribe to a paid plan (after any trial period expires)

3.2 Account Responsibilities

You are responsible for:

• All activity that occurs under your account
• Maintaining the confidentiality of your authentication tokens
• Notifying us immediately of any unauthorized access
• Ensuring your use complies with Twitter/X's Terms of Service

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

4. Subscription Plans and Billing

4.1 Available Plans

4.2 Billing Terms

• Billing Cycle: Subscriptions are billed monthly on a recurring basis
• Payment Method: Credit card or other payment methods accepted by Lemon Squeezy
• Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date
• Price Changes: We may change subscription prices with 30 days' advance notice
• Failed Payments: Service may be suspended if payment fails; retry attempts will be made

4.3 Quota Management

Usage quotas are tracked based on AI tokens consumed per request. Quotas reset at the beginning of each billing period. If you exceed your plan's quota, you must upgrade to continue using the Service or wait until the next billing period.

4.4 Cancellation

You may cancel your subscription at any time through the Lemon Squeezy customer portal. Upon cancellation:

• You will retain access to the Service until the end of your current billing period
• No further charges will be made after the current period expires
• No refunds will be issued for the unused portion of your subscription (see Refund Policy)

5. Acceptable Use Policy

5.1 Permitted Uses

You may use the Service to:

• Generate authentic, personalized replies to tweets
• Create original content for your Twitter/X account
• Develop your unique voice profile through feedback and learning
• Engage meaningfully with your Twitter/X community

5.2 Prohibited Uses

You may NOT use the Service to:

• Spam or Mass Engagement: Generate automated spam, unsolicited replies, or mass engagement
• Harassment or Abuse: Create content that harasses, bullies, or abuses others
• Impersonation: Impersonate another person or entity
• Misinformation: Deliberately spread false information or deepfakes
• Illegal Activity: Engage in or promote illegal activities
• Hate Speech: Generate content containing hate speech, threats, or violence
• Platform Manipulation: Artificially inflate engagement metrics or manipulate Twitter/X algorithms
• ToS Violations: Violate Twitter/X's Terms of Service or Community Guidelines
• Commercial Spam: Use the Service for unsolicited commercial messages or pyramid schemes
• Reverse Engineering: Attempt to reverse engineer, decompile, or extract source code

5.3 Enforcement

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund. We may also report violations to Twitter/X or law enforcement as appropriate.

6. Intellectual Property Rights

6.1 Service Ownership

The Service, including all software, algorithms, user interface, design, and documentation, is owned by ScaleTapp DOOEL and protected by copyright, trademark, and other intellectual property laws.

6.2 User Content

You retain all ownership rights to content you create using the Service. However, by using the Service, you grant us a limited, non-exclusive license to:

• Process your voice profile data to generate personalized content
• Analyze user feedback and edits to improve AI models
• Store usage data for quota management and service improvement

We do NOT claim ownership of your tweets, replies, or voice profile. You may delete your data at any time.

6.3 AI-Generated Content

AI-generated content is provided as-is. You are solely responsible for reviewing, editing, and deciding whether to publish any AI-generated content. We are not responsible for the content you choose to post on Twitter/X.

7. Third-Party Services

The Service integrates with third-party platforms and services, including but not limited to:

• Twitter/X: Subject to Twitter's Terms of Service and API usage policies
• OpenAI: AI generation powered by OpenAI's API
• Lemon Squeezy: Payment processing and subscription management
• Google OAuth: Optional authentication method

Your use of these third-party services is governed by their respective terms and policies. We are not responsible for any third-party service's availability, functionality, or terms.

8. Disclaimers and Warranties

8.1 "As-Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 No Guarantees

We do not guarantee that:

• The Service will be uninterrupted, secure, or error-free
• AI-generated content will be accurate, suitable, or high-quality
• Defects will be corrected
• The Service will meet your specific requirements
• Third-party services (Twitter/X, OpenAI) will remain available or compatible

8.3 AI Content Disclaimer

AI-generated content is based on machine learning models and may produce inaccurate, inappropriate, or unintended results. You are solely responsible for reviewing and approving all content before posting it publicly.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCALETAPP DOOEL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or voice profile information
• Damage to reputation or social media accounts
• Cost of substitute services
• Twitter/X account suspension or termination resulting from your use of the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless ScaleTapp DOOEL and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including Twitter/X's Terms of Service
• Content you generate and post using the Service
• Any claim that your use of the Service caused harm to a third party

11. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, for any reason. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Changes may include:

• Adding or removing features
• Changing quota limits or pricing
• Updating AI models or algorithms
• Discontinuing integration with third-party services

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by:

• Updating the "Last updated" date at the top of this page
• Posting a notice in the extension
• Sending an email notification (for significant changes)

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Macedonia, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through:

• Step 2 - Mediation: If informal resolution fails, parties agree to attempt mediation
• Step 3 - Jurisdiction: If mediation fails, disputes shall be subject to the exclusive jurisdiction of the courts of Macedonia

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and ScaleTapp DOOEL regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, internet failures, or third-party service outages (including Twitter/X or OpenAI API disruptions).
